The registered office address is the address displayed in the master data in the MCA. All correspondence from the government or the officials is sent to this address. Can the registered office be located outside India?
No. As per the law, a company registered in India should have its registered office within India.
1. Minimum 2 directors shall be appointed, out of which one must be a resident of India.
2. Minimum 2 shareholders are required for this registration. Here, an individual may become shareholder and director at the same time.
3. A place of business in India must be provided as a registered office address.
Do I have to make changes in any other documents like MoA?
Not necessary unless you are shifting the business to another state and the registered address is in another state. In such cases, the state mentioned in the Situation Clause must be changed.
Does my registered address be located in a commercial property?
Not necessary. A registered office can be a residential property or commercial property. It has to be a physically verifiable location.
Where should one keep their business records?
Unless decided by the Board of Directors, the records of the company and the books of accounts should be available in the registered address. In case the Board of Directors decide to maintain them in a separate location, the same has to be communication to the registrar with full details of that address.
